The legalization of corporate social responsibility is a trend of globalization. However, relevant legislation is sparse in China. In laws and regulations in force, although simple expressions of corporate social responsibility are described, they do not have a further description. Meanwhile, objective of responsibility and how to bear it are lack of operability regulations. In fact, some companies reduce costs and increase economic efficiency according infringement of rights of employees and customers. Lack of social responsibilities produces a bad effect on economic development and social harmony. How to make a real legalization of corporate social responsibility is a problem, which is worth to study. The dissertation will research about this theme.In order to analyse this problem, the dissertation is divided into five parts. The first part studies the origin, history, development and nature of the corporate social responsibility. Meaning of corporate social responsibility can be understood from a variety of angles. However, with the development of society, its content is richer and wider than before. Corporate social responsibility has transferred legal liability from moral obligation.The second part analyses the necessity and feasibility of corporate social responsibility. According to relevant laws, corporate social responsibility can be achieved and promoted in an objective manner. In a short-term view, corporate social responsibility undoubtedly decreased company profits. However, corporate social responsibility will promote their benefits rising in a long-term. At the same time, Chinese social environment provides a condition for legalization of corporate social responsibility.The following part describes foreign corporate social responsibility system. Developed countries have more experiences of legalization of corporate social responsibility rather than China. Hence, United States, United Kingdom and Japan are analysed as successful samples. Such references and analysis are good at legalization of corporate social responsibility in China.Part four discusses the present situation and existing problems of corporate social responsibility in China. Although, legalize process of corporate social responsibility is already begun, it only has a declaratory provision in Company Law of the People’s Republic of China. Other relevant rules are scattered in different kinds of laws. Furthermore, Company Law only provides a general regulation of corporate social responsibility. In other words, a deeply and widely description and a detailed punitive measure have not been given by the Company Law. Thus, operation of corporate social responsible legalization is not powerful enough in China.The final part mainly measures the methods to perfect the legal system of corporate social responsibility. Based on such methods, legal process of corporate social responsibility is promoted. In order to perfect it, boundary of legalization has to be defined. In other words, to what extent the law on social responsibility should be. The law on corporate social responsibility should be controlled within the scope of corporate behavior on social and public interests to cause significant harm. Besides, improving the existing laws, perfecting the relevant rules in Company Law integrating various relevant rules in branch laws are effect methods to legalization. Meanwhile, establish other legal system as a supplement. Based on it, legalization of corporate social responsibility can be smooth implement.
