| Online group-shopping has brought us a whole new shopping experience, but it also along with a lot of legal issues, so the situation of this industry is mixed. This thesis based on the characteristics and process of Online group-shopping, then analyzed group-shopping contract’s validity and these website operators’legal status and liability, and finally from the perspective of protecting consumers, tried to expound various legal issues that exist in online group-shopping.The analysis of this topic will be put in from four aspects:In Part Ⅰ, through a real case, we can find various legal problems and loopholes in current online group-shopping transactions. It also give an introduction to the concept, characteristics and operation mode of online group-shopping and make a summary of it all. In Part Ⅱ, it focused on the validity of the online group-shopping contracts, using the existing contract provisions as its legal basis for the whole contract process, so make it a law to follow when met the daily problems on validity of contract. The website operators’legal status and legal liability would be stated in Part Ⅲ, also they would be positioned by comparing various theories and viewpoints. On the basis of Contract and Security Obligationtribution, we can define the contractual obligation and statutory obligation that the website operators should bear; thereby clarify the statutory duty that these websites operators should take, finally achieve the unity of the industry self-government and legal regulation. In the Fourth Part, from the perspective of protecting consumers, it aim at analyzing the various problems that exist in online group-shopping, and solved these problems from two aspects of industry self-government and government regulation, ultimately perfect legal system of the online group-shopping market. |
