With the development of economic globalization, corporate social responsibility hasbecome a global concern concept. Although the concept varies in different countries and there is nounified requirement, but the concept of corporate social responsibility has been deeply rooted. Thetraditional way of the Companies Act that only pursuing the maximizing profits has been questioned.Companies should not only to pursue their own interests but pay more attention to the publicinterests. In various fields in China, there exposed some events that companies avoiding socialresponsibility in succession, such as “The caring donation event for Wenchuan earthquake”“Melamine milk powder incident”“The lean meat issue” event, which lead to the torture of China’scompany by all over the world. Why the discardness of responsibility repeatedly appears in China?And just for the maximization profits? Why multinational companies in China also beingirresponsible? This could not be explained only by the lack of social responsibility, and there is nomandatory power only by moral constraints. Instead institutional regulations are essential in thisfield. It is because of the existence of these problems, this article put forward the idea of corporatesocial responsibility legal system, aiming at increasing criminal cost and guaranteeing the companyimplementation of social responsibility strongly.Part1analyzed the concept of corporate social responsibility and legalization, from legalperspective to explain the need for corporate social responsibility legal system. In Part2, byanalyzing development of corporate’s social responsibility from some developed countries,including US, European Union and Japan, the author made comparison with China’s, so as to acceptsome inspirations for China. The part3obtained some flaws and problems in existing law byanalyzing the existing law. Based on the difference of China and other countries and analysis of ourcountry, Part4and Part5put forward ways and suggestions which are suitable for China’scorporate social responsibility laws.
