Research On Corporate Social Responsibility

As two sides of the coin, corporate institutions makes great fortune for our society on one side, but it brings series of social problems on the other, which is no other than the background of the origin and development for corporate social responsibility. Although there are a lot of different views about it, it is an irrefragable truth and trend that it has being accepted by their legislations and judicatories of more countries, as it has been written in the amended company law of our country, which makes of a new angel of view of this thesis probes into.This thesis consists of five chapters as follows:Chapter one is the basis of this thesis. Considering that the definition of corporate social responsibility is controversial, and different school has different opinion about the connotation, validity and extension of it, this chapter intends to define it and probes into the history and origin of the theory itself.Chapter two makes a point of this thesis. It intends to analyze the due basis of corporate social responsibility. Considering the frame of this thesis, the analysis has been made both from such two points of view as law and economy, but the former is the chief one.Chapter three is the core of this thesis. From a new angel that corporate social responsibility has been written in our amended company law, this chapter not only affirms its great meaning, but also analyzes the need and feasibility of it in china.Chapter four is the objective of this thesis. It firstly gives examples of intensifying corporate social responsibility in our amended company law. According to the shortcomings remained in the law, it then gives advices in two ways. Macroscopically, leaning from the foreign countries should be based on our own situations; the best way to put corporate social responsibility in practice is to combine the company law with other departments' laws; and many mechanisms should be cooperated as to intensify corporate social responsibility. From the point of microcosmic, how to intensify is to perfect our traditional company internal framework and accredit stakeholders the right to take part in management of the company.Chapter five is the end of this thesis. It reconsiders and affirms corporate social responsibility. At last, it expresses the hope that the theory would be perfected and legislated furthermore.
