Enterprises produce much wealth for us, at the same time they make a tremendousimpact on social environment, the theory of corporate social responsibility emerges anddevelops at the background of this. Corporate social responsibility means when enterprisespursue the maximum interest for shareholders, they must undertake certain responsibilitiesfor stakeholders who are closely linked to enterprises except for shareholders. Judge fromthe distinction between obligations and responsibilities, corporate social responsibility isobligation. Though there are still disputes that whether enterprises have to take socialresponsibility, it is an inevitable tendency for enterprises to take social responsibility on thebasis of theory and reality. State-owned enterprise is a special form of enterprise, so it’ssocial responsibility is different from other enterprises, it forms the system whose maincontent is public responsibility. The main problems of state-owned enterprises are the lackof clarity of property rights, the unreasonable ownership structure and the rights andinterests of workers without security. So I put forward suggestions to propel socialresponsibility to institutionalization from the legal system, information disclosure system,corporate governance structure and supervision mechanism.
