Optimization of Industrial Structure (OIS) is the key way to shift economic development mode and enhance the quality of economic development. To achieve OIS and make it being a driving force of economic development have been caught so much common concern from academia and the government’s macro-management departments.According to the previous research on the industrial structure of Henan Province, This article selects Henan Province’s industrial structure as research object, we define the relevant concepts and analysis the theories, then we analysis the three-industry structure, rationalize, and sophistication of Henan industrial structure. Then, it is possible to conduct an empirical analysis by building a gray dynamic linear programming model for OIS of Henan Province.In the empirical analysis, we establish the objective conditions by maximize industry output and constraints by labor, electricity, water resources and funds. Though the parameter prediction on the constraints, we build a dynamic model of the ISO between2012-2016; then go MATALAB programming for solution. Compared with the status of industrial structure in Henan, the conclusions proved the reliability and validity of the gray dynamic linear programming model.Based on the results of the rationalization of OIS and sophistication factors, we made some recommendations to the macro-management departments of Henan Province. It is signified to promote the optimization and upgrading the industrial structure of Henan by change the mode and enhance the quality of economic development of Henan Province.
