The rapid development of the private enterprise is playing anirreplaceable role in China’s economy ever since the policy of reformingand opening-up. What is more, contradictionsaroused from distrust between the private business owner and theprofessional manager lead to a dilemma in the course of their cooperation.The author illustrates, according to the agent-principal theory,thatInformation Asymmetry between consignor and consignee results inmutual suspicions. In addition, misunderstanding and insufficientcommuniction are both factors responsible for it.The paper analyzes thevaluable demands is satisfied or not in view of the proprietary andSpecificity of Human Capital.Therefore,the concrete performaces ofcooperation delima are clearly refelcted by mutual-dissatisfication andself-suspission. Then, the paper analyzes the above reasons from theaspect of the private enterprise owner,professional manager and theircooperation respectively.Finnaly,it refers to mutual distrust as the root ofcooperation delima and to trust crisis as the main characters. Therefore, the paper analyzes the reason of the dilemma of cooperation, puttingforward bilateral moral hazard based on human capital the seconddimension and instrumental、special trust relationship of the privateenterprise and the professional manager based on present social distrust.Still, this paper gains the factors result in trust by establishing Gamemodel. At the end of paper, from the view of national condition, theauthor concludes that establishing moderate surplus trust relation is anefficient way to advance cooperation of the private business owner andprofessional manager, to provide theoretical guidance to the practice ofmanagement.
