With the development of economic globalization, foreign direct investment hasbecome one of the important ways in economic development.Since middle and laterperiods of the20th century, foreign capital mergers and acquisitions has gradually replacedthe "green land investment" and become the dominant form of foreign directinvestment.And the industry security problem of the introduction of foreign capital in theprocess of economic development has become the subject that our and other countries haveto give enough value proposition.Stand in the angle of the host country, this paper based onthe industrial safety perspective, is committed to building a theory research frameworktheof the regulation system of foreign capital m&a,it has certain theoretical and practicalsignificance.Firstly,this article through the overview of related research at home and abroad aresummarized, and the foreign capital mergers and acquisitions, industrial security andgovernment regulation of the relevant theory to the research are studied, the purpose is toprovide the necessary theoretical basis for the following article;Next, in the world withinthe scope of the five big wave of mergers and acquisitions and foreign mergers andacquisitions in different stages of development in our country are introduced, and the effectbrought by the foreign capital m&a(include both the positive effect such as capital,technology, management experience and the negative effect on he national brand, marketstructure and state-owned assets).also,the industrial safety issues are summarized,and,ithas analysied the current situation of industry safety regulation of our government;In thefourth chapter of this article, for foreign capital m&a industry in China’s beverage industrysafety regulation,as an example, established the industry security evaluation index systemand using the analytic hierarchy process to determine the relative weight of each indexfactor, through building the appraisal model of industrial security, m&a of foreign capitalin China’s beverage industry caused by the industry to evaluate the security situation, forour country in the process of introducing foreign corresponding industry safety assessmentprovides the practical and theoretical basis; Finally, combining the corresponding targetand principles, it gives some policy advice to the construction of the government regulation as the core of safety regulation system, in order to provide certain reference to reasonableutilization of foreign capital and protect the industry security. In the process ofdevelopment of economy in our country.The innovation of this paper is:（1）It selected of some important indexes that affectindustrial safety under the background of foreign capital mergers and acquisitions, thesafety evaluation index system is established, through building safety evaluation model tomeasure the degree of safety of a particular industry,and provided a quantitative calculationmethod to measure the industrial safety.（2）On the basis of the case analysis, it set out the"industry security framework that government regulation as the core of foreign mergers andacquisitions in China", the framework provided some policy basis of reference and themethod of quantitative calculation in order to protect our country’s industry security.
