In our country, M&A activity is a general economic phenomenon, But the studies have found that only30%of the success rate and the cause of the failure is largely integration issues.The summary of integration case studies found two major drawbacks, firstly the case is too concerned about the large inter-company mergers, secondly the information is limited. So, first of all, this paper detailed the related theory about merger integration over the past few years,such as the risk of m&a integration, process, models, content, providing theoretical basis for the case analysis. Secondly, this paper choses a new case, and it analyzed the process of m&a, the motivation of m&a and the m&a integration, at last this paper found that the primary cause of failure is integration, especially cultural integration and strategic integration. Finally, this paper put forward in the future we of mergers and acquisitions among enterprises should pay attention to several opinions, one should establish cultural integration alone, the other is pay attention to the strategic goal setting, a third is mergers and acquisitions should be as a constant, the change process. Based on the above theoretical research and case analysis,in the future,we should pay attention to a few points, the first should set up a separate cultural integration, and the second is that we also should pay attention to the set of strategic objectives.
