With the continuous improvement of the openness of our economy, numerous foreign-funded enterprises have entered the domestic market. However, under the complex and changing circumstance, how to cope with the challenges, how to establish their own strategic alliance in the domestic political and economic climate, and how to deal with the integration of the different enterprises culture, have increasingly become a problem for the business community and academia to explore.In current Chinese market, the conflicts caused by the different operation concept and the huge cultural differences of eastern and western enterprises, often exert deep impacts on the development of the joint ventures. How to make effective management measures to deal with cultural conflicts is the major issue facing the multinational enterprises strategic alliance and project managers.Based on what mention above, this article firstly summarizes the solution of the problem of those cultural conflicts. Then it takes the case of the establishment of strategic alliances and mergers and acquisitions of Pepsi and MASTER KONG which the author once worked for as an instance. Through the analysis before and after its entire business alliance and m&a of practical experience and the deficiency existing in reality, and combined with theoretical research, the paper put forward a set of for foreign companies to establish strategic alliances and mergers and acquisitions in the management optimization strategy to solve the problem of the cultural conflict. This paper is aiming at providing reference for Strengthening enterprise cultural integration and a vivid case for academic research.
