New-institutional economics is applied to analyze the general laws of property rights and organization evolvement of Rural Credit Cooperatives (RCCs) in developed areas and policy choosing of RCCs.RCCs are important components of china's finance system as the basis of rural finance. Since its foundation 50 years ago, it has played a significant role on economic development and rural society's comprehensive development in china. In spite of further reforms and explorations have been taken on its management and micro-organization system, no essential progress has been made on property rights and organization system inside RCCs since 1996, the problem of undertaking of risk responsibility is still serious. Therefore, potential financial risk is still wholly undertaken by the state. This systematic problem is urgency needs solving for government, finance supervision department and RCCs and the focus of theory studying. Furthering property rights reform encouraged innovations of stock reconstruction in RCCs with severe financial market competition, fast progresses of urban-rural integration in developed areas and rural economic structure changes et al. But relative theoretic researches are non-systemic. Under this realistic and theoretic background, the evolvement, development and choosing of property rights system of RCCs in developed areas were systematically studied from the perspectives of new-institutional economics and property rights theory. The paper constitutes six parts. The chief research contents and conclusions are as follows:The first part is an introduction. Through summarizing research achievements on RCCs property rights system reform inner and out, the study objectives are put forward. Joint stock reconstruction is the Market orientation of RCCs property rights and organization system in development areas. Based on that, the micro management mechanism, index system of property rights system reform appraisement and some policy solutions are given. The paper's research follows the route of "HISTORIC EVOLVEMENT - CURRENT SITUATION ANALYSIS - THEORY FRAMEWORK - CASE STUDY - SOLUTIONS". The combined methods of "qualitative andquantitative analysis", "dynamic and static analysis", "comparison and factor analysis", "whole data collection and typical investigation" were applied to study the reform route of RCCs in developed areas.The second part (chapter 2) analyzes the historical evolvement and the realistic characters of property rights system of RCCs in China's developed areas to find the starting point of property rights reform and construction. China's RCCs have experienced five development phases: 1951 to 1958, 1958 to 1979, 1979 to 1996, 1996 to 2003 and 2004 to present. In the five different phases, RCCs were in the charge of some national department of finance. Real cooperation has never been applied in property rights or organization system. Therefore, there are many problems lying in RCCs' property right system, such as unreasonable property rights structure, absence of owner, false rights owner, long-term blurry situation of property rights relationship and nonstandard management mechanism, for example parallel existence of internal and external controlling, single supply source and insufficient demand of property rights institution, high innovation pressures on property rights institution innovation of RCCs in developed areas.The third part includes chapter 3 and chapter 4. In chapter 3, a theoretical framework of the reform on RCCs property rights system is formed on the base of detailed and systemic analysis of the basic connotations of the theory of property rights and institution and the theory of corporation regularization structure. In chapter 4, with relative perspectives of institution innovation theory, the general law suitable for analyzing the evolvement of RCCs property rights and the index system of evaluating the effects of property rights system reform were put forward, which are the theoretic bases of following cases.The fourth part is a positive study, including...
