In the past20years, Chinese privately-owned higher education is developing rapidly; it has become an important part of higher education in China. BOTS as highest decision-making and management mechanism in Chinese privately-owned colleges, it is self-evident to play its role. Perfect and scientific system of BOTS or not is not only related to the colleges’ survival and development, and also to the teachers, students and other groups’ interest. At present. BOTS in Chinese privately-owned colleges exist some problems, we must research and solve these problems.This paper integrate use education, law, management, economic theories, which is based on the domestic and foreign scholars in the investigation of system of BOTS in Chinese privately-owned colleges, and through surveying and interviewing J college’s staffs, then analyzes the problems of system of BOTS in Chinese privately-owned colleges, then try to explore a set of mature and comprehensive system of BOTS in Chinese privately-owned colleges in a bid from the organization, system, staffs, etc.There are six parts that comprise the maid body of this paper. In the first part, it mainly analysis the study about the system of BOTS in Chinese privately-owned colleges and American private universities, as well as to make a comment. The second part of the definition of the system concept of t BOTS in Chinese privately-owned colleges, mainly three theories commissioned agency theory, corporate governance theory and stakeholder theory, it expounds the practical agency by agreement between the board of trustees in the privately-owned colleges and the schoolmasters, and the rationality of the multi-members of aboard of trustees as well, which is the theoretic frame of this paper. These two parts are the basis and precondition of the entire paper. The third part to our privately-owned colleges’ BOTS development undertook combing. In the fourth part, it analyses the management modes and its characteristics of BOTS in American private universities, by means of deductive inference, and expounds the relation between the current modes and the historical tradition and then establish a management mode of BOTS in privately-owned colleges, from the origin of system and the cultural evolvement, combined with the modes from the US. The fifth part selects J college’s BOTS of specific performance empirical study, to understand the basic situation, to find the problems existing in the process of operation, and analyze the reasons of causing the problems. In the last part, the author put forward countermeasures and suggestions for the development of BOTS in privately-owned colleges, by internal and outside the privately-owned colleges and BOTS.
