Compared to outsource manufacturing, offshore service outsourcing has many advantages, such as higher value-added, lower resources consumption, less environmental pollution and so on. In addition, offshore service outsourcing can produce many economic effects on developing countries, for instance, the employment effect, the income effect, technology spillovers, and the industrial structure effect. As the newly country which undertake the offshore service outsourcing, China will face a lot of challenges. Then, does a stable association exist between Offshore service outsourcing and the Industrial Structure Upgrading? Whether the two promote each other? How to promote? Above all problems need us research and explore.Based on the above issues, the article uses five chapters to elaborate. Firstly, the article discusses offshore service outsourcing theory and the Industrial Structure Upgrading theory. Research includes offshore service outsourcing motives, effects as well as the upgrading of the industrial structure. Secondly, it summarizes the conduction of mechanism offshore service outsourcing and the Industrial Structure Upgrading, the association is technology spillover, capital accumulation, employment, trade structure and system. Thirdly, it analyzes the Current Situation of Chinese offshore service outsourcing and the characteristics of industrial structure. In general, the amount and practitioners to undertake service outsourcing in China are increasing, the development gap of Regional are narrowing.ITO is still the main business, the development of BPO and KPO has great potential. Industrial structure becomes more reasonable and showing new features. Fourthly, in this paper, the unit root test method is used to measure service outsourcing and three major industries really exists a long-term stable relationship. Then, it is used regression analysis method to prove offshore service outsourcing positive role in promoting the upgrading of industrial structure. The last, from the three levels of government, business, industry associations, useful policy Suggestions are put forward.
