Middle and senior managers are crucial human capital of enterprise. How to effectively motivate them relates to the enterprise’s survival, management and development. Middle and senior managers play an important role in the process of state-owned enterprises entering the market, changing ideas and mechanisms, and seeking greater development. Motivate Middle and senior managers are an important issue that enterprise must face and study.In view of the development stage and executives’demand characteristics, the paper is focused on building enterprises in senior management incentive system tailored from material incentive and non-material motivation with Changsha Railway diversification group as a platform. Senior management incentive is the main research object of this system. Comprehensively using related incentive theory, the paper designed the material incentive system from the fixed salary, performance salary, long-term salary three aspects by learning from other enterprise management experience. Each allocation and assessment are fully taken the actual status of the railway’s current income distribution system into account, which not only do not overly break through the existing income distribution principle that cannot implement, but also make full use of incentive theory, put forward compensation and performance management ideas that have modern enterprise senior management incentive characteristics. It has strong relevance and feasibility. What’s more, the paper built non-material incentive system from the business incentive, organization incentive, and culture incentive three dimensions. Meanwhile, it enriched incentive means and levels, deeply improved incentive effect by combing the demand characteristics of senior and middle managers.The paper is committed to provide reference and theoretical idea for designing a incentive system. The system can make Changsha Railway diversification group form a set of effective senior management incentive mechanism, maximally mobilize senior managers’working enthusiasm, and finally realize standardization and scientific management.
