China since the executive compensation disclosure in1998, the amount has beencontinue to rise, in recent years some company executive pay is surprisingly high, reached tenmillion yuan. This had to let us reflection, the design of the salary system in China isreasonable, what factorsexactly affect executive compensation.These problems not onlyrelated to the executives work, enthusiasm and efficiency, but also for the China’s capitalmarket’s ability to continue to the healthy development of listed companies to improve the paysystem, the regulatory authorities to strengthen supervision of the executives of listedcompanies pay an important referencesignificance.This article first introduces the background and significance of the executivecompensation,reviews some domestic and international research literature.Then introduces sixabout the basic theory of executive pay, according to the present situation,analyzes the sixfactors that affect executive compensation.By collecting300company data samples in2012, define the independent variable, thedependent variable, control variables, and puts forward some assumptions.And then with thespss software, empirical research on executive pay influencing factors.Through descriptiveanalysis, correlation analysis, regression analysis, the paper considers the performance of thecompany, company size, board size, regional differences in executive compensation was asignificant positive correlation, the company’s growth and executive pay ispositiverelated.Finally, according to the results of empirical research, statement of conclusions, andmade a5-point proposal:(1)make pay and performance hook;(2) increase the ownership ofthe executives;(3) improve the corporate governance structure;(4) the remunerationdisclosurestransparency;(5) reasonable design executive performance appraisal system.
