Entering into the phase of restructuring of the enterprise after acquisitions and mergers, many factors, such as whether it restructures smoothly or not and synergy, will influence or decide the success of A&M. In the practice of state-owned enterprises acquires and merges private enterprises, what should be paid great attention to and solved is to both cover private enterprises with the standard operating mode of state-owned enterprises and also to keep the flexible operating mechanism. It will be of realistic and profound significance for enterprises’restructuring that we probe the management of schedule of the enterprise restructure project, analyze the factors influencing on the project schedule and put forward the countermeasures.The paper is to study the project schedule management theory in the course of the enterprise restructuring as the background of the state-owned enterprises acquiring and merging private enterprises, for the case of the restructuring of Desheng Nickel. The project begins with signing the agreement of restructuring and ends with forming the operating management mode in line with the characteristics of the new enterprise after restructuring. The thought of this paper is how to make the restructuring smooth according to every schedule and achieve the desired objectives through optimizing schedule planning with project management theory, monitoring implementing schedule with EPM, finding out the factors influencing restructuring, making the qualitative and quantitative analysis of the factors with fault tree analysis method and put forwarding the countermeasures. The project has made success by phases, and the business performance of the restructured enterprise has made a profit instead of suffering a loss, which provides useful experience for the future development of Baosteel Group in acquisitions and mergers. Meanwhile, for the enterprise which is under restructure or on the point of restructuring, the project is a good example.The paper is a project management essay on the basis of the project schedule management theory with an example of the restructuring of Desheng Nickel. It is divided into five chapters s and the first chapter is the foreword. The second is stating the theory, methods and technologies about the concerned project scheduling management. The third is discussing the scheduling optimization and control of the restructuring project. The fourth one is analyzing the factors influencing the schedule and putting forward countermeasures and the fifth chapter is the part of summary.
