The commercial registration system in China still suffers the remaining impact of planned economy, leaving the mark of government will. With the rapid development of market-oriented economy and promotion in democracy, the commercial registration system has hampered social development so that objective conditions are conductive to carry out a thorough reform. Since 2012, areas such as Shenzhen and Zhuhai have boldly reformed the trading registration system. Premier Li Keqiang charted executive meeting of the State Council to deploy the reform on company commercial registration system in 2013 and the State Council unveiled the program about the reform on registered capital registration system the next year in February and in July the reform centered on "business license first" initiated. Since then the reform of commercial registration system with the leading of State Council became an irresistible force which centered on easing market access and innovating government regulation so as to release reform bonus, creating new developing momentum and building a commercial registration environment feature equality, opening and sound. Although we can learn from these reforms, problems such as unthinking, ill practices, are irresistible and there should be more considering on the means and force of reform due to the formidable and complex difficulties in the process of reform.The paper highlights the main problems and reasons for the commercial registration reform based on the review of the reform history. The research reveals that there are the following problems in our commercial registration:legislative chaos, confusion between subject qualification and management qualification, unscientific auditing program, drawbacks in follow-up supervision and exit mechanism. To solve the above problems, the solution should be based on building limited government and be carried out in the following four aspects:unifying legislative acts, building a new registration system separating subject qualification and management qualification, crating supervision mode centered on information disclosure, and completing judicial safeguard and administrative litigation.
