Government investment plays an important role in social investment, especially in the field of non-operational items like infrastructure, municipal engineering and so on. For China, planned economic system has lasted for a quite long time, and we are also different from the Occident in political institution, so government investment has a bigger effect on economical development and social stability. Managing government-investment projects is very necessary, and Chinese management modes have changed from traditional to modern. Traditional modes include self-supporting by construction units, engineering headquarters and construction headquarters and so on. Under these modes, administrative organs have been redundantly involved in the construction process, which has resulted in projects’not being up to standard. In this case, agent-construction system appears, and it has been applied to non-operational items widely.Agent-construction system has been carried out for more than ten years, but most scholars research it with a perspective of management science, not in legal views. It’s apparent that it can’t develop successfully without the regulation of law. Therefore, I decide to write this paper. The article consists of seven parts, first part has introduced government-investment projects and its management modes, second part has analyzed the operation process of agent-construction system and the legal relation it contains. In this part, agent-construction contract is the central point. Next three parts all focus on discussing the defects of agent-construction and how to fix these defects. Last part has summarized the former six parts, and then predicted the future of agent-construction system.
