Translation Of Articles Of Association Under The Guidance Of Functional Theory

This report is based on the translation of Articles of Association and seeks to look at how thefunctional theory guides translators in their decision-making during the translation process.As the word’s economy becomes increasingly interdependent, more and more foreigncompanies are coming to China to open branches. These foreign companies have to set upbranches according to their own laws and regulations, at the same time they have to act inaccordance with Chinese laws and regulations as well. Articles of Association is the constitution ofa company. The translation of text such as Articles of Association is the most important of its kind.Articles of Association has all the features of a legal text. For example the use of archaicwords, long complex sentences, legal terminologies, etc. It also has abundant of financialterminologies in the parts that cover capital structure, dividend policy, calls, etc. The translator hasto know the features of legal language such as the use of antique words, stylistic sentences as wellas financial terminologies. Besides, legal and cultural differences also have to be taken into accountfor accurate translation of the source text.This report is based on the translation of Articles of Associations of Legend InternationalLimited, a Bangladeshi company. The report has five parts. The first part presents the backgroundof the translation and gives a brief of the source text. The second part gives a general introductionof the German functional theory. The third part talks about the difficulties in the translation processand how they were solved under the guidance of functional theory. The fourth part is theconclusion, and the last part is the appendix of the source text and its translation.Functional theory empowers the translator to make decisions during the translation process sothat the translator can produce an accurate translation that meets the needs of cross-legal andcross-cultural communication.
