We must make sure that the vigor of labor, knowledge, technology, managerial expertise and capital keeps bursting forth, all the wealth-creating sources fully flow, and that the fruits of development benefit all people still more and equally,this is therequirement of deepening the reform comprehensively. As people use the organizationform of social production instead of individual production to produce goods, laborand capital has become the basic element of social production. Enterprise is acooperation organization,which the owner of the means of production and the laborinvest capital and labor to create wealth and share wealth, no matter what theinvestors take ways to invest in enterprises, the property all belong to the property ofthe enterprise including material capital and human capital. While management righthas become the key to promote the normal production and operation of enterprises inthe process, how to effectively exercise the management right is the main content ofimproving the corporate governance mechanism and maintaining the effectiveoperation of the company. Under the labor hiring capital system, laborer still belongsto the enterprise groups in the weak, enterprises did not get a reasonable and effectivedistribution of the creating weath through the reform. According to the point of viewthat the labour belongs to the owner’s,only if the means of production is the"resources",and the necessary condition for labor, and then the labor is the main bodyof labor, the main production, and the mainstay of the economy. The subject of themanagement right of enterprises is all employees of enterprises, and by investing thelabor, the labourer act as an important part of the enterprise.I take it for granted thatthey are a part of the subject of the management right of enterprises so that they cancreate the enterprise wealth, share with the wealth and take risks all together. In thispaper, from the perspective of economic law to affirm, enact and protect themanagement right, so that the labourer invest the labor into the enterprise to becomehuman capital,and then work together to create wealth and to share with the wealth. Itis the formation of incentive and restraint mechanism that promote the integrationbetween human capital and physical capital,so as to promote social progress andachieve the goals of further deepening the reform.
