Commercial Registration System Reform In China And Implications For Vietnam

Based on the history of commercial registration system reform in China, this paper attempt to fully discuss about the generation and development of commercial registration system by using comparative research method. There are three reasons to select this topic: firstly, Vietnam commercial registration system is imperfect; secondly, the legislation of Vietnam commercial registration system is in progress; thirdly, I have been studying in China for three years, I have gained understanding about China commercial registration system reform, therefore, I hope this study will provide the references to commercial registration and enterprise registration system reform in Vietnam. This study is organized into four chapters as follow:Chapter one shows the connotation of commercial registration. The chapter introduces the definition of commercial registration based on the legal concept. Then, I also show the two connotation of commercial registration in both China and Vietnam that illustrating that the legal concept not only possesses single form, but also contains another form. Hence, review of the different historical background of both country, I found that the imparity of region making different model of commercial registration, thereby, the rest of this chapter will discuss and summarize them.Chapter two reviews Vietnam commercial registration of history, current status and problems. The chapter presents drawbacks, unsolved problems in Vietnam commercial registration. Then, according to the real state of Vietnam commercial registration’s economy, I considered that the commercial registration law in Vietnam are primarily protection for secure transactions. The fourth part of this chapter also propose the legal effect of Vietnam commercial registration.Chapter three shows the development and innovation of China commercial registration reform. The present focus on the background, ideas, contents and essence of China commercial registration reform. The aim of this chapter is to understand key point, contents, causes and innovation in the process of China commercial registration reform.Chapter four proposes the implications for Vietnam. As mentioned above, according to the advantages of China commercial registration reform combining with real situation in Vietnam to make suggestions. In the meanwhile, this chapter compare corporation law of both countries. Particularly, this section is emphases chapter of this paper.After reviewing the study above, the rest of this study summarizes and concludes the China commercial registration reform corresponding to implications for commercial registration reform in Vietnam.
