| As the evolving and developing of China’s modern enterprises, it is obvious thatcorporation’s long term development and its competitiveness become more important.For the government supervision, protection of the corporate governance evaluationsystem, upkeep of the public company reputation, it is important to establish thecorporate governance evaluation system. The current evaluation system ofcorporate governance effectiveness is used only for its operating processes,policy-making and governance structure, it is not completely evaluating itsgovernance effectiveness.Based on the current corporate governance evaluation methodology, the thesis isto establish an effective evaluation index system and evaluation model. Via theSPSS model we can get the main influencing factors, and we can further ratify themthrough the empirical study on manufacturing.The thesis has seven (7) chapters.The first one is the introduction. It talks about the thesis’s research background,research rational, research methodology, its innovations and thesis structure.The second chapter talks about the literature review. The thesis provides ananalysis for the corporate governance research literature and points out the currentresearch deficiencies.The third chapter provides an analysis for the current corporate governance ofthe Chinese public companies. Via three typical public corporate governance models,the thesis provides analysis to the Chinese public corporation’s governancecharacteristics and its existing issues and problems.The fourth chapter is to establish the dimensions and indicators for evaluation ofcorporate governance system and measurement matrix. The thesis discusses theadoption of24indicators out of8dimensions such as the share structure, board of director system, supervisory system, senior management incentive system, capitalstructure, shareholders, legal system, information sharing, etc. in order to establish anevaluation systemThe fifth chapter is to set up the assumptions for the corporate governance factoranalytical model, to index the assumptions for the relationship between corporateperformance and factors.The sixth chapter provides an empirical study on the evaluation system ofcorporate governance. Based on the established the corporation governanceevaluation system, this chapter sets up the governance effectiveness and evaluationdimensions weights. Through SPSS analysis we will get7critical key indexes, andfurthermore these indexes will be evaluated for its accuracy via special industry.The seventh chapter is the summary, next step and future research direction. |
