In recent years, because of the influence of the subprime mortgage financialcrisis,the west’s economy suffered serious wounds. China, as a socialist country,Has its own unique economic system.So there is no suffering in China,and its economystill maintained steady and rapid development. Under the background of the domesticand international environment,and under the leadership of the communist party ofChina,who implements the "go out, the introduction to" the correct strategy, Chineseenterprises make acquisitions in the overseas, and make the world to face anunprecedented Chinese buying spree. Since2004, Chinese acquisition of foreignenterprises has been more than South Korea, and become Asia’s second-largestacquisition of the market. Especially in2010,in this year,Chinese market highlights thatforeign acquisitions gradually pick up and domestic acquisition activities is accelerating.Acquisition of foreign enterprises has become a shortcut to Chinese enterprises togo global, but in the process of acquisition, as there are big differences in culture,management style, and many other aspects between China’s enterprise and the acquiredcompany, the road of Chinese is not plain sailing.Since the1990s, the wave of mergers and acquisitions worldwide strengthens,however, in the case of a large number of mergers and acquisitions, real success is notmuch. On the analysis of the reasons for the failure of m&a, some research results showthat ignoring the m&a differences of corporate culture, not properly solving the culturalconflict, and lack of effective cultural integration are the important causes of the failureof the merger and acquisition. In order to help Chinese firms go out and find a reasonableway of m&a, reduce the failure probability in the process of mergers and acquisitions,and make our country enterprise mergers and acquisitions successful work, this articlethrough to the cisco as an example, explore the influence factors of m&a success fromthe angle of enterprise culture, analysis the main mode of enterprise m&a culturalintegration, as well as study the main strategy in the process of cultural integration, sumsup the valuable experiences from which the current our country enterprise m&a culturalintegration work to provide some reference and enlightenment.This thesis is divided into five parts: The first part is introduction, mainly introduces the writing background of this thesis, the research achievements of predecessors and theinnovation of the author. The second part is theory, Mainly elaborated the M&A theoryand the relevant theories of cultural integration. Lay a theoretical foundation for laterCisco case study. The third part is the cultural differences, Mainly shows that the culturaldifferences between different countries, different regions causes and performance. Thefourth part is case analysis, mainly for cisco culture after the merger integration modeselection and characteristics of the system analysis overview. The fifth part is theenlightenment, through the cisco case study to find existing in the work of culturalintegration in M&A in our country deficiency.
