Due to a series of problems in management system of resorts included the legal status of the subject is not clear, Powers and responsibilities of the boundaries are not clear and marketization level of the development company is not high etc. Restricted the healthy and orderly development of tourism resort.This paper takes shanghai international tourism and resorts zone as example and makes an empirical study, Discusses the Suggestions of optimal path in theory of Holistic governance and Stakeholder Theory.This paper first reviews the development process and management system of China’s tourism resort. Since 1992, the State Council approved the establishment of the first National Tourism Resort, The process of China’s tourism resort zone can be divided into three stages:exploration started, flourish development and deepen transition.As of 2009 statistics show that the national provincial tourism resort has been reached 149, Overall,situation of development is good, but not balanced. The management system of tourism resorts can be divided into three types:mixed type, government-oriented and company-oriented. With the construction of tourism resorts further operations, the management system has also been adaptations, There are three kinds of performance:The first is the power of committee authorized has changed, the second is the type of committee revert to the traditional administrative system, the last is company-oriented closer to government-oriented.Then takes Shanghai International Tourism Resort as example and makes an empirical study. After Describes the background of establishment and the basic overview, This paper detailed management system which is "A command& A committee& A development company".
