In the past few decades, the reform of modern enterprise system in our country has achieved great progress, however, we must realize that, in the future, the development and reform of modern enterprise system has still long way to go. Regime, unclear property rights, incentive and constraint mechanism is not clear, legal person governance structure did not reach the requirements of the market economy,those factors, still restricts the establishment and perfection of modern enterprise system. In this thesis, we first choose in China and the main countries of the enterprise system evolution process to take a more systematic and comprehensive analysis of, and then synthesizes the relevant institutional change theory and practice of our country, and introduce the influence of the system innovation of our enterprises six obstacle factors. Finally systematically comprehensively summarizes the general law of the influence enterprise system innovation, proposed the adoption of six concrete path. The specific contents are as follows:The first chapter introduces the background, specific carry out the purpose of this study and its significance in practical application, in addition, the research ideas, research methods and research content, and research framework are described.The second chapter studies a comprehensive view of society, philosophy, economics and other fields, the basic concepts are firstly mentioned in the definition of the enterprise system, combined with the domestic and foreign academic circles on the enterprise system connotation and definition, expression, structure and function of enterprise system were elaborated.In the third chapter, the system of our enterprises, the main development of state enterprise system, in the course of western modern enterprise system with the characteristics of the differences and cultural background analysis, the different nature of the enterprise system, characteristics of enterprise system innovation in five aspects, analyzed the development situation of domestic and foreign enterprise system.The fourth chapter has carried on the analysis of key factors influencing the construction of the enterprise system. In the bond between government and enterprise, the property right is not clear, poor cultural factors, corporate governance structure does not meet the requirements of the market economy, the incentive mechanism is incomplete, difficult to sue honesty culture compatible with the market economy of China’s modern enterprise system innovation change core on the basis of factors to summarize, dig the inherent reasons.The fifth chapter puts forward multi angle to adjust the bond between the government and enterprise, the relationship between property rights clear, adhere to the people-oriented, pay attention to the core value system of coordination of monetary capital and human resources, establish and improve the incentive and restraint mechanisms, strengthen the education on sincerity and perfect credit evaluation system six aspects of the impact of China’s enterprise system changes the path in our country, finally on how to promote enterprise management system construction were discussed.The sixth chapter based on the above research results, the evolution history of comprehensive combing enterprise system and the way of the establishment of China’s enterprise system, the general rules of changes of main countries of enterprise system, and follow the law of cultural roots of these conclusions, to reflect the current China enterprise system inefficient, to the innovation of enterprise system China culture in the context of the proposed targeted recommendations.The main points are as follows:First, the enterprise system contains the pursuit of ethical value, embodied in the "who is who serve the interests of enterprises", "business goals and the pursuit of the interests of specific what" etc. these core problems in standard setting, the core of the problem "with the same interests", different value orientation can be spawned the arrangement of shapes, different enterprise system. Second, any kind of enterprise system method has its survival environment, due to the heterogeneity of national culture, a country’s success by his reckless enterprise system in China is not only feasible, enterprise system successfully and efficiently in practice in accordance with the requirements of the specific cultural environment, exploration improved and gradually formed, so the formation of our country’s enterprise system needs to be combined with China’s national conditions. Third, there is a double influence on the enterprise culture, institutional change and economic performance, once took great positive influence in the economic and social development, is likely to change with the external environment and gradually become negative, become a key factor hindering institutional change, accelerate enterprise system imbalance and failure, locked loop makes enterprise system change into low efficiency and can not extricate themselves, Japan is one of the most typical examples.
