With the rapid development of financial globalization, marketization and increasing of competition between domestic Banks, especially as Banks of shareholding system reform brings the profound change of the internal governance structure and management mechanism, the banking industry has become increasingly complex business environment, the commercial Banks face not only in the traditional sense of the credit risk, but also bear the more volatile the operation risk, market risk and compliance risk, risk management difficulty increasing, risk is increasing. The implementation of the compliance risk management has become to ensure key processes to improve the level of management.JZ bank belongs to special currency risk and to gain profit enterprises, business success is closely related to its ability to control and manage risk. JZ bank are facing thechallenge of promoting the risk management ability and there are still many shortages. Inrecent years, there have constantly been violations of laws and regulations in thecommercial banks, which have brought great economic loss to our nation andcommercial banks and severely damaged the reputation of the JZ bank. Therefore, operating in accordance with the laws and rules and managing and controllingthe compliance-risk have become the themes, the JZ bank must face activelyfor their existence and development.Withthegoalofestablish complianceriskmanagementsystem,this paper first makes a brief review on the research background, then proposes the methods and the content; chapter two elaborates the meaning of compliance risk in commercial banks, basic principles and connection with other risks, which is a support to the paper’s concept definition and theory. Meanwhile, it analyzes and mirrors the compliance-risk-management state of advanced international banks, making a technical support for JZ bank; chapter three gives a careful analysis of compliance risk situation of JZ bank, finding out the bottleneck and deficiency in compliance risk management; chapter four makes targeted design for compliance-risk organizational structure and duties of compliance-risk managing organization; chapter five mainly proposes according protective measures for compliance risk management of JZ bank.
