Mergers and acquisitions is a high risk and high profit business practices. According to McKinsey, a consultancy, the authority of the data, after M&A truly achieve the enterprise scale expansion and the benign development accounted for only 20% of the total deal-30%; Integration after M&A is good or bad directly affects the benefit of the merger and acquisition enterprise overall operating conditions, and even lead to the failure of the enterprise after the merger. It is clear that merger integration exist a lot of risk. Therefore, the enterprise should fully estimate the risks when merger integration and the existence of the problem.This paper on the merger integration and enterprise core competence theory at home and abroad was studied, in the process of M&A integration content contained in each part of M&A integration risks are analyzed, will rise to enterprise core ability as the goal of the M&A integration theory application in China’s aviation industry group company, A company, comprehensive academic content of M&A integration, selection strategy, organization and management, finance, human resources, cultural integration as A content framework for the analysis of A company merger integration process, and characteristics of A company merger integration are summarized. Put forward the problems in the process of integration of A company for the risk and pressure, A company to find problem put forward the corresponding solution measures, got inspiration from A company merger integration case.In this paper, the main research results:considered acquisition targets in order to improve the core competence of enterprises, and think the merger and acquisition strategy is based on improving enterprise core ability to set. And the selective use of the content of the M&A integration, enterprises should to control the risks in the process of merger integration management, provides some enlightenment from the case study:think that M&A is the premise of enterprise itself must have a strong ability of integration management, secondly system resources integration is the key to the success of mergers and acquisitions. M&A target is to improve their core competence, for the purpose to carry out mergers and acquisitions, blind expansion of scale will only lead to increased risk of M&A and even lead to the failure of the merger.
