In The Transitional Period of Chinese economy, the Innovative forms of modern enterprise to the employee and the depth and breadth of employee incentives being challenged. As a motivational tool which Emphasis on human capital development, ESOP incentives become more and more popular. In previous studies, ESOP is considered to give employees the ownership, so that employees become shareholders of the company, and increase employee motivation to work, Which is to retain and attract the talent, improve the efficiency of employee, so as to promote the performance of company. But in the study ESOP and organizational performance, the conclusions are not consistent. In order to further study how to play ESOP incentives, we have begun to shift from the perspective of endogenous to exogenous perspective, which is to research to the design of ESOP elements. Current research of the design elements on ESOP focused on listed companies, this paper focuses on the non-listed private high-tech enterprise research.In this paper, through to the two companies interviews and data collection, the two cases of the implementation of employee stock ownership plan characteristic has carried on the coding, as well as the characteristics of the ownership of the company culture, employee output and organization performance has been coded. In case data in-depth comparison and analysis, has carried on the theory of sublimation, summarizes the non-listed private high-tech enterprises in our country the practice of employee stock ownership plan improve organization performance characteristics.Through the study of the case of enterprises, the conclusions of this article are: First, the non-listed private high-tech enterprises ESOP mainly affecting by the internal factors. Second, the rational design of non-listed private high-tech enterprise ESOP can effectively motivate employees to improve organizational performance. Last, ownership culture can contribute to the effectiveness incentives of ESOP.
