Today, the rapidly changing global economy, coupled with Chinese is facing the industrial structure adjustment and upgrade, in the context of an increasingly industry competition, more and more companies have to face an important choice, either carry on company strategic transformation on the premise adventure, or swim with the stream to be out of the market. To these companies who face this environment, the transformation is the source to obtain new profit increasing point and enterprise growth, through the transformation to overcome recession, recovery growth ability of company, has become the inevitable choice for these companies to obtain the survival and development opportunity. However, the transformation of the company is a high risk behavior with lots of uncertainty, many losers, but the success can be counted on one’s fingers. After many bitter defeat of the enterprises transformation, we must have a full understanding to recognize the risk of cross-industry enterprises.The company cross industry transformation means that the company is facing the changing market, changing product types and core technology. The transformation of the company need face enormous risks. Since the 21 st century, domestic listed companies which try to get the transformation through assets restructuring are too numerous to mention, but the companies which can thoroughly to remould oneself and make success are not many, rarely reach the expected effect. Listed companies are lack of restructuring risk awareness and risk prevention capacity is the major cause of failed to achieve the desired effective. New understanding of the risks that exist in the industrial transformation, not only the issues need attention in the company management, but also the issue that the relevant regulatory authorities and theorists should be highly concerned.Zhongrun Resources Company(000506) is a listing corporation company mainly engaged in mineral development investment, from its founding to now, along with the development and change of the industry, experienced a transformation from the real estate industry to mineral development industry, which is a good study material. The history, present situation and future of Zhongrun Resources Company, Cross industry transformation of the company is a major adjustment of company strategy, is the direction choice reasonable? Can the company’s existing resources, such as management, talent, technology and capital rapidly adapt to the subversive reform and innovation which brought by the transformation? Can the company integrate new competitiveness? All the above is the questions that this paper tried to answer. These studies will help Zhongrun Resources Company’ s strategic decisions, as well as a reference to other enterprises.This paper study and analyzed the enterprise cross industry transformation in details, from the analysis of cross industry transformation concept, cross industry transformation relevance, resource relevance, resource optimization. In order to solve the difficulties that Zhongrun Resources Company is facing currently, the paper, in accordance with the enterprise resource theory, resource-based business-related theory and divestiture theory, try to find the relevance between the company’s resources, such as the technology resources relevance, production resources relevance, channel resources relevance and management resources relevance. Propose divestiture program and how to optimize the resources after the cross industry transformation, and improve the company’s competitive ability.
