Electronic Components constituting the smallest parts of electronic products, its progress and development stems from the forced needs of the electronic information industry, and it also promotes the continuous development of the electronics industry. With the rapid development of military, industrial, and consumer electronics products, simultaneously resulting in regional industries specialization as global integration, China’s Electronic Components industry has been developing rapidly. At present, China’s Electronic Components industry is not only made significant progress, but in the world also accounted for a large proportion. According to statistics, China’s semiconductor sales revenue has accounted for 14.8% globally.As the most important part in electronic components supply chain, distributors have played an important role, either between supply and demand allocation for components, or rapid dissemination for market information. In the distribution market of Electronic Components of China, not only active the original factory, authorized agents, catalog distributors, spot-goods dealers and other strong strength of foreign companies, while also active the a large number of local distributors, small traders, etc.. These distributors when facing fierce competition, also seeking new growth model of new business.O2O as a new business model following the emergence of electronic commerce as a new business model for the integration of online and offline resources, it has become the new development model of the major network operators. Its impact is not only in the face of the final consumer industry, but has penetrated into all walks of life. Especially in the Electronic Components distribution industry, O2 O model has become the new way of survival and development of the preferred mode for a company to seek.In this paper, through carding the history and development of Electronic Components and its distribution industry, it is pointed out that the O2 O model is the best model for the distribution of electronic components. And analyzing of U company’s external competitive environment further by Porter’s Five Forces Model, and then through the comparative analysis of the U company O2 O model defined market positioning, and using the theory of O2 O platform model elements analyses U company’s business, customers, platform construction, logistics services and other factors, points out the problems existing in U company in these factors. Further analyzing the U company in the development of O2 O platform model of the adjustment of the responsibilities of various departments, and situation of human resources. Finally, through the comparative analysis of online U company and offline C company in terms of sales, gross profit and growth of these two indicators, it is concluded that U company developing O2 O model has great prospect.Finally, aiming at the problems found in the process of analyzing the O2 O model of U company,put forward suggestions of Improving the platform construction, adjusting the functions of the Department to meet the needs of the development of O2 O model, strengthening the work of human resources, strengthening the bilateral construction of the platform, and introducing strategic partners. Hoping these suggestions to U company would has certain help.
