First, this paper reviews the existing literature and classics entrepreneurship and industrial structure upgrade theory discusses the relationship between them, It is concluded that the concept of entrepreneurship, definition and basic content of the elements of the entrepreneurial spirit. Through the analysis of the connotation and the influence factors of entrepreneurship, To seek the way of entrepreneurship of industry transformation of resources enrichment area. Second, This paper introduces the research on related theory and the present situation of the industrial structure in Inner Mongolia, Choose 12 union city of Inner Mongolia tertiary industry output value and the ratio of the second industry output value industry structure upgrade, And entrepreneurial spirit connotation of core traits innovation measure index of entrepreneurship, and 12 union city of Inner Mongolia region in 2000-2013 panel data for empirical analysis After finishing a total of 168 sample observations, Examines the entrepreneurship influence on resources enrichment area of the industrial structure upgrade.Based on the empirical study on the outcome of the discussions, the main results obtained in this study are:(1)Entrepreneur spirit of innovation distribute imbalance in Inner Mongolia region and the upgrading of industrial structure in Inner Mongolia region 12 au city’s influence is different.
