As an decision-making and executing agency,the board is the core component of the internal governance structure of the industry association,which plays a role that can not be neglected in the survival and sustainable development of industry association.The improvement of the governance of industry association board,could improve the internal management of industry association,enhance the autonomy of industry association governance and promote the industry association and administrative agencies decoupling process.However,there are many problems in the governance of the current industry association board such as the poor supervision,the non-rigorousness of financial management and the centralization of chairman(president).The poor governance of the industry association board not only leads to the ineffectiveness of the board functions,but also affect the reputation of industry association,which hinders its sustainable development.Therefore,the governance of industry association board is a research topic with practical significance and theoretical value.This paper uses the literature research method to answer the connotation of the governance of the industry association board.And on the basis of empirical research such as investigation and interviews,this paper expounds the situation of the governance and the actual situation of the council and the performance of the problem.However,under the framework of the structure-functionalist analysis,this paper try to analyze the causes behind the problems and come up with reasonable suggestions using the principal-agent theory and the loosely coupled system theory.Specifically,this paper uses structural-functionalism as the analytical framework,and divides the governance of industry association board into two parts:structural governance and functional governance.Structural governance refers to the constituent elements of the board and its role in governance,including the chairman(vice chairman)and its role,the director(executive director)and its role,the professional committee and its role.Functional governance is a function of the board as part of the internal governance of industry associations,including decision-making functions,personnel management functions,financial management functions and information disclosure functions.At the same time,through the comparison of the ideal situation of the board governance using literature research and real situation of the board governance based on the field research,the problems and causes in the board governance have been found,and finally,the recommendations have been given from structural governance and functional governance.The specific contents are as follows.The structural governance could be conducted from three respects:clarifying the relationship between the agent and the agency,defining the position of the board;improving the loosely coupled policy,perfecting the related system design and promoting the loose coupling strength,inspiring the sense of responsibility of directors.The functional governance could be conducted from four respects:expanding the loosely coupled elements,improving the scientific decision-making;improving the loosely coupled form,introducing a reasonable fee system;enhancing the flexibility of the coupling,improving the tense of internal supervision and innovating loose coupling link,building information exchange platform.
