With the development of real estate market, improvement of policies and change of economic environment in China,the traditional development model has already strayed away from the real situation. Cooperative development is the new development model currently for many real estate enterprises. In reality, the cooperative demand is focus on One Investing Lands and the Other Investing Money. Based on the research of literatures domestic and international, Research is concentrated on the summary of the existing mode and the risk problem.Research on the cooperative development mode of policy, law, tax, financial and risk is lack.however, in actual, cooperative development mode problem needed to resolve.The thesis compares and analyses common cooperation development modes which are divided into Project and No-project companies including nine kinds of cooperation development modes. According to the expert interviews, there are seven cooperation modes needing further study based on policies and laws. No consideration will be given to the other two kinds due to complicated principles, poor applicability and bad maneuverability. Further step the thesis is focus on the choice of the modes based on the real case, their uniqueness and demands on both sides. The better cooperation modes will be chosen by analysis and evaluation on external factors, like financing problems and risk issues, which can affect the model option.The following part analyzes policies and laws involved in the cooperation development modes, and points out the feasible modes including development comes before name, land-use right transferring(after investing 25% of the gross investment amount) and stock right cooperation and anonymous development under the current law and policy frame. The modes development comes before name and land-use right transferring(after investing 25% of the gross investment amount) should be the priority considering policies and laws comprehensively.Then, the thesis research on specific issues such as finance, taxes and risks when considering the characteristics of certain real project, and find the key points for cooperative development modes. For instance, compared analysis of investment on lands purchasing to cooperative development from the perspective of finance, to make certain which model is better. For the tax, the analysis of tax costs to both partners and joint company, especially liquidation method and liquidation amount of land appreciation tax before evaluating into shares are the key factors for cooperation. Meanwhile, for the lands already partially developed, feasibility analysis is necessary to the evaluating into shares for the whole or partial lands, further to measure feasibility of cooperative model and optimize. For the risk, risk factors resulted from cooperative development should be recognized, evaluated and analyzed, so as to come up with measures to avoid and mitigate and transfer risks, as well as to judge whether they are under the control. Further to make certain whether the risk factors will have fundamental influence on the choice and determination of cooperative model.In the last part, the thesis summarizes the key points for the choice and design of cooperative development modes, reviews and analyzes selection process of cooperative modes, and summarizes the practical results of the cases, raising the key issues for improvement and precaution. Meanwhile, based on the theories and cases in the cooperative development modes, to summary the option and design procedure of cooperative development modes, and points out the basic principles and main influential factors, such as win-win, just and fair, law, policy, tax and risks.The thesis can provide the reference for the investors with similar investing willings.
