With the process of urbanization development in china, not only we have obtained the good results of urban construction, but also caused the interest conflicts between suburban farmers, government and developers frequently on urban land requisition and housing demolition. Those issues were lead to various social complications and getting more serious. As the accelerated of urbanization in our country today, more and more land resource are needed for construction, and suburban can provide a lot of land resources. The land requisition in urban also lead to a series of conflicts and contradictions. Interest conflicts in Land-Acquisition and House-Demolishment also gradually become a highlighted issue in the process of urbanization in China. In order to make the process of urbanization steady and the new rural construction smoothly, we must attach great importance to those interest conflicts on urban land-acquisition and house-demolishment, and take effective measures to protect against it. Through to analysis the core stakeholder's interest conflicts in urban land-acquisition and house-demolishment, paper will try to found out the reason why interest conflicts happened and seek countermeasures.Paper were identified the stakeholders and their appeals on the suburban land demolition by the methods and theories of literature research, questionnaire investigation, expert interview, stakeholder theory, conflict theory and game theory. Then, on the basis of expert interviews and questionnaire survey, and combine with in-depth study of relevant literature, paper were analyzed the interactions and the performance of profit conflict between stakeholders on urban requisition and demolishing. Finally, paper would find out the reason of those interest conflicts.Through the above analysis, we found that the imperfect of policy system, the unreasonable distribution of benefits, the uncomplete of interest express platform and conflict resolution mechanism, and the lack of supervision are the main reasons of interest conflicts on urban land-acquisition and house-demolishment include. Then put forward to relieve the interest conflicts on urban land-acquisition and housedemolishment by perfect the relevant policy, the mechanism of benefit distribution and the expropriation compensation and so on. Finally combined with a case to inspect the above analysis and to provide an objective and fair perspective to solve or prevent interest conflicts on suburban expropriation.
