As entering the 21 st Century,the conflicts among population, environment and resources are becoming more and more serious, and the problems of resources abuse, over exploitation, pollution have occurred. With the development of coastal mudflat aquaculture, the phenomenon of tidal flats resources over exploitation increasingly critical and arouse public response.This paper try to analysis the problems mentioned above from common-pool resources theory. Firstly, this study illustrate the characteristics of the common-pool resources: non-exclusive and competitive, which lead to over exploitation; secondly, this study concludes and summarizes three main management theory; thirdly, we give three reasons about the tidal flats resources over exploitation by building a game model. There are negative externality and heterogeneity in extracting process, "free rider" behavior in offering process, and supervising. Therefore, it is concluded that the inevitable result of over exploitation from the perspective of rational people and characteristics of the tidal flats resources. To make this problem more clear, this paper takes Nanao County, Shantou city, Guangdong province's cultivation of Gracilaria lemaneiformis as an example. At last, we consider that Elinor Ostrom's self-governance theory to solve over exploitation of coastal mudflat aquaculture resource, and further puts forward the corresponding policy recommendations in the current circumstances in reference and summarizes the theory of governance and its advantages and disadvantages of different common-pool resources and current national condition.
