Empirical Analysis Of Shareholders' Access Rights Of Limited Liability Companies

Based on the operation mechanism of modern Limited Liability Company,the shareholders are not directly involved in the operation and management of the company,which leads to the information asymmetry between the shareholders and the company.This is the reason why the shareholders exercise the rights of the inspection of records.The rights in the company law of our country have been more and more elaborate,but not perfect.Indeed,there are still some blanks of legislation,which leads to the existence of a large mummer of disputes in the judicial practice.Firstly,to summarize the emphasis of disputes,real cases are classified and concluded.Secondly,analyzing and demonstrating those emphases,it can find out the shortage of the rights of the inspection of records of our country.Finally,this paper has established some advices to make up for it through comparing the different foreign model about legislation with ours.Specifically,the article discusses the perfection of the rights of the inspection of records in our country from four chapters.Chapter one is the introduction of development of the rights of the inspection of records in our country.In the Chapter Two,Combined with the related legislation in the United States and Germany,the author absorbs the advanced experience of legislation there,and found the shortage of legislation in our country through comparison of those statutes.Chapter Three shows,in practice,the problems about the rights of the inspection of records in our country.Although the company law of our country has made relevant provisions of those problems,they are too simple to guarantee the balance of interests between the shareholders and the company.Chapter Four mainly solves the aforementioned problems.It has two parts which include judicial proceedings and non-judicial proceedings,and its aim is to protect the exercise of the rights of the inspection of records smoothly.
