Economic globalization and the coming of the information age,the employees of the enterprise can quickly understand the current economic situation and its own industry related information,which also aeriform in increased mobility of employees.The mobility of employees increased,aeriform in also increased the company's labor costs(such as training costs)and risk(the risk of disclosure of commercial secrets and employee high turnover rate of cohesion decreased risk).So how to reduce the turnover rate of staff has become a problem which the enterprise owners need to solve urgently.Therefore,how to establish a kind of system,a governance mechanism design,build a community of interests between the enterprises and employees,realize between the enterprise and its employees "risk linkage" and"benefit sharing",became the owners focus problem.At this stage both at home and abroad on the equity incentive plan research is concentrated mostly in the incentive to executives,and little incentive to common enterprise core staff positions to explore,in fact,core staff for the importance of the enterprise often less than executives of enterprises.The eighteen Party's clearly put forward,"science and technology innovation is to improve the social productive forces and the comprehensive national strength of the strategic support,must be placed in the country's overall development of the core position."Stressed the need to adhere to the road of independent innovation with Chinese characteristics,the implementation of innovation driven development strategy.At this stage,industrial manufacturing industry is still the main support for the economy of our country countryman,to take the science and technology driven development strategy would inevitably from made in China Road OEM to OBM created in China.Therefore,scientific and technological innovation oriented enterprises play an important role in the development of China's national economy,and scientific and technological research and development personnel as the core personnel of scientific and technological innovation oriented enterprises,its position is obviously important.Therefore,this article attempts to ZTE two equity incentive plan is analyzed as a case,the equity incentive plan of science and technology and R&D personnel incentive effect,and then explore the linkage of risk and benefit sharing mechanism and the inner mechanism.Based on the above,this paper adopts a single case study method,innovation oriented perspective to the risk and benefit of ZTE share linkage mechanism,mainly from the following two aspects:first,according to ZTE's two equity incentive plan incentive mechanism and path analysis of linkage mechanism;secondly,combined with the theory of formation mechanism the content of the case and explain the risks linked with the benefit sharing mechanism,namely the risk linkage and benefit sharing mechanism is how to enable enterprises to obtain good corporate governance;thirdly,according to the risk and benefit sharing mechanism of linkage effect generated by the corporate governance are analyzed;finally,the construction of theoretical framework of this paper.The author tries to through the help of scientific and technological innovation oriented enterprises,for the implementation of risk linkage and interests sharing mechanism provides some reference and,at the same time,the scientific and technological innovation oriented enterprises to more clearly recognize that we ought to from what angle based on innovation and innovation soft environment and hard system support.This paper through case studies found that ZTE for researchers to implement the two equity incentive plan in enterprise interior formed risk linkage and benefit sharing mechanism and incentive mechanism and linkage mechanism to interact with each other to promote,so that ZTE won the business advantage,then obtains the advantages of corporate governance model.Risk linkage and benefit sharing mechanism,the fundamental reason is the incentive and linkage mechanism makes the enterprise's scientific research personnel received a strong impetus to the research and development,R&D power and by enterprises to create the soft environment and hard system improve organizational innovation atmosphere,forming a virtuous circle didn't enter the and enable enterprises to obtain a large number of innovative performance,and enhance their business advantage.This paper analyzes the soft environment and hard system of ZTE,which is the scientific and technological innovation personnel,to extract the promotion factors of employee training,employment guarantee and the three aspects of innovation atmosphere.Through the analysis through the case the found that business advantage will bring employees of high stability,high market share and high financial performance of a new table,thus causes the enterprise to obtain the higher than the industry average of corporate governance effect.Through in-depth study of ZTE equity incentive plan,analyzes the innovation oriented risk linkage and interest based on the sharing mechanism of the production and its effect,mainly draws the following three conclusions:(1)Scientific and technological innovation oriented enterprises to the scientific research personnel equity incentive mechanism and linkage mechanism,and these two mechanisms will promote each other,in order to enhance the research and development of scientific research personnel.(2)The key to the effect of risk linkage and benefit sharing mechanism lies in the organization innovation atmosphere.Scientific and technological innovation oriented enterprises should provide staff training,employment assurance and concept advocacy,such as the corresponding soft environment and hard system to ensure the active organization innovation atmosphere.(3)Organizational innovation performance can bring enterprise business advantage,and then get the advantage of corporate governance.
