The Research Of Capital Operation Risk Management In A Company

With the deepening of the economic system reform in our country,according to the requirement of the central government to improve the oversight system for state-owned assets,the role of state-owned investment holding company in operating and optimizing state-owned assets is more and more important.The main businesses of state-owned investment holding company are equity investments and operations,mergers and acquisitions,and other capital operation activities.In order to achieve the goal of increasing the value of state-owned assets,to maximize the capital operating income,we must pay attention to the management of the capital operation risk.A investment holding group co.,LTD.(hereinafter referred to as A company)is a state owned company invested by SASAC of Liaocheng city government,mainly engaged in capital operation and assets management activities.Its core business is equity investment and operation.Its duty is to increase the value of state-owned assets,construct key projects and optimize state-owned assets.But,the company to carry out the capital operation is not long enough and capital operation risk management experience is not enough,so we need to strengthen the research of capital operation risk management.Using literature research,this thesis studied the state-owned investment holding company,capital operation and risk management of the relevant theoretical knowledge;Using interview survey,this thesis interviewed 25 employees of each management level of A company.By analyzing A company's capital operating environment and the current status of the risk management,this thesis summed up several main problems of the capital operation risk management of the company:First,it is the lack of capital operation risk management system;Second,the corporate governance mechanism is not perfect;Third,the risk management mechanism is not sound;Fourth,it is the lack of risk management training;Fifth,it is the lack of evaluation and improve risk management mechanism;Sixth,audit supervision does not reach the designated position.In order to improve the capital operation risk management of A company,on the basis of the data obtained by communicating with employees interviews,this thesis identified capital operation risk of the company comprehensively.By combining qualitative analysis with quantitative analysis,this thesis evaluated the risk from the two dimensions of risk probability and risk loss,and then cleared 12 key risks of the company:(1)Government and enterprise are not separate and government intervened the company excessively;(2)The industrial structure is adjusted;(3)The company's location is not clear under the background of state-owned enterprises reform;(4)The entity economy has many difficulties;(5)The company's development strategic planning is improper;(6)Corporate governance mechanism is not perfect;(7)Department setting is unreasonable;(8)The personnel quality of capital operation manager is not high enough;(9)Capital operation management process is not clear and standardized;(10)Debt and interest are heavy burdens;(11)The collection ability of important information is not strong;(12)The construction of management information system is not in place.At last,this thesis put forward capital operation risk management guarantee measures from strategy,organization,system.First,by setting up the consciousness of risk management,spreading the concept of risk management,setting the objectives of risk management and clearing specific principles of risk management,the company can raise the capital operation risk management to the strategic level.Second,by optimizing the corporate governance structure,perfecting the operating mechanism of the board of directors,giving full play to the role of the board of supervisors and standardizing the operation mechanism of the managers,the company can strengthen its organizational leadership;By setting up a risk management committee and a risk management department,the company can improve its risk management organization system.Third,by clearing investment management system and process,the company can clear the responsibilities of the relevant functional departments in capital operation activities and risk management;By strengthening the audit supervision and risk management training,the company can improve the effectiveness of risk management.
