The eighteen report of the Communist Party of China put forward: "improve the modern financial system, accelerate the development of multi-level capital market,promote financial innovation". Finance is the main force to promote the development of the national economy, while the capital market is the core of finance. Providing financial support for real estate companies has been one of the core tasks of finance.For China’s real estate enterprises, since the last century after the gradual commercialization of real estate, along with its flow, trading and other aspects of the gradual market, the real estate business is also growing dependence on the financial.With the transformation and upgrading of China’s economy, the traditional real estate business to get to be able to make money, the golden age has gone. How to improve the overall strength of enterprises has become a major problem in front of the real estate business. Among them, the most important thing is how to use the capital market, innovative financing, reduce corporate financing costs.In the context of high prices and real estate business risks continue to accumulate,the relevant departments of the various types of financial supervision of real estate companies are maturing. Credit financing is no longer the only channel for the financing of real estate companies, trust financing,bond financing and ABS provides a new channel. For many small and medium real estate companies, due to regulatory pressure, many traditional financing means are difficult to achieve. The China Banking Regulatory Commission on the financing of real estate enterprises, the 432 rules is to push the real estate finance supervision climax. In this context, the phenomenon of real estate financing is more prominent.The purpose of this paper is through the collection of equity investment trust financing way for the Real Estate Company, through due diligence, financial analysis,risk assessment, project design, listing a series of steps to set up personal financing products for Real Estate Company. In this paper, we first analyze the basic situation of the target financing enterprises and financing projects, and then use the cash flow analysis method to measure the financing demand and investment benefit. Combined with the capital, financing and regulatory requirements to establish a trust transaction structure, and determine the trust operation mode and exit, and finally using the Borda method and risk matrix method and related model for risk measurement of the transaction, to lay the foundation for the smooth issuance of products.Through the preliminary due diligence of the project team, project team to collect all kinds of information, and full communication for the project and clubs, law firms and other institutions, and ultimately the formation of due diligence reports and related documents submitted to the Committee decision. From the analysis of the results of this project, the financing side of the equity structure is clear, perfect governance structure,financial risk and business risk is not large,with a certain ability to repay debt. And as the guarantee of this product is strong, the project funding sources and other aspects are in line with the requirements of the relevant regulatory agencies, I apply for the approval of the company’s products listed. From the point of view of the project, the future of real estate corporate finance will be based on credit financing, but the trust financing, ABS, bonds and other new financing will usher in a major development.
