In the era of "Internet +",the enterprises have difficulty to maintain lasting innovation ability, grasp market opportunities, and reduce innovative capital risk on their own,as a result, they need to integrate external resources by forming technical alliances with the other enterprises, government departments, universities and scientific research institutions, and intermediary organs to create innovation.Choosing the right technology alliance governance model plays a key role in reducing the information asymmetry and mitigating alliance members' conflict of interest, which is one of the most important elements of the alliance's success.According to the principle of"separation of two rights" of corporate governance, the paper divides the technology alliance governance model into two modes:the Single-Center Governance Model and the Multi-Center Governance Model from two dimensions of fund-raising subject and operating subject, and elaborates the meaning and characteristics of these two governance models. The Single-center Governance Model means that alliance managers have the greater control of the alliance and pay more attention to the risk of cooperation, while the Multi-Center Governance Model means that alliance managers pay more attention to the collaboration, the input, and the rational and full use of resources. The technology alliance will form a network in the formation and development process, and the network characteristics play a crucial role in the process of choosing the right governance models.Based on previous studies, the paper divides network characteristics into three dimensionalities:the structural dimension includes network size and network heterogeneity, the relationship dimension includes trust and interaction frequency, and the cognitive dimension includes shared vision, that describe the whole alliance network characteristics from the macro to the micro. This paper studies the correlation between the network characteristics and the governance model, combs the relationship between them to find how the network characteristics affect the choice of model through a wide range of previous studies, and constructs the theoretical model. Then we investigated the core units of some technology alliances in Jiangsu(mainly to enterprises in alliances),then used SPSS 19.0 to do the factor analysis about the 226 valid questionnaire data collected, passing the reliability, validity test and CMB test.Besides we used the AMOS22.0 to construct the structural equation model in order to verify the hypothesis of this study through the path coefficient and significance. The results show that the technology alliance network characteristics do have a significant impact on the alliance governance model, and the larger the network size, the greater the heterogeneity of the network, the higher the degree of trust, the higher the frequency of interaction, the higher the degree of interaction, the more shared vision, the alliance managers have more preferences for the Multi-Center Governance Model, otherwise have more preferences for the Single-Center Governance Model. The conclusion of this study can provide the theoretical basis for the main members of the technology alliance to select the appropriate fund-raising subject and operating subject according to the network characteristics formed during the development of the alliance,so as to help them to deal with the interests of the partners better, mobilize the enthusiasm of the alliance members,as well as improve the efficiency of alliance cooperation.
