Corporate Social Responsibility In The View Of Jurisprudence

The stakeholder theory originated from U.S.of America in 1960s.From then on,it plays an important role in many fields.It aims at arousing people's attention and acceptance of corporate social responsibility,and release the conflict between modern companies and society.It will ultimately make the companies make the benefits and build a harmonious relation between the companies and the society,and thus the advocates of the theory make great progress to the society.People pay more and more attention to their existing condition and living quality in Economic globalization era.In the other words,the humanistic consciousness is rising.As an important driving force of the economy,the companies have been asked to pay attention to moral consciousness and take social responsibility by the whole society.Values,social structure,economic system of China is undergoing a great change process,which makes China start to communicate with the rest of the world and at the same time face with the status of social disorder,such as lacking of corporate social responsibility.Some companies only aim at maximizing shareholder's profits but ignore the human care,even pollute the environment and so on.The problems occur in the development of the company make people realize that the companies should not only aim at maximizing the profit of shareholders,they shall protect the interests of consumers,employees,the community and the other related stakeholders.In order to protect the interest of these stakeholders,companies should take their corporate social responsibility.On the basis of corporate social responsibility,this paper aims at how to implement it.This paper systematically introduces stakeholder theory,and discusses how to improve the relevant laws and regulations of corporate social responsibility and how to implement corporate social responsibility.First,the paper summarizes the basic problems of stakeholder theory--the overview,content and background.Then it points out that the rationality of stakeholder theory from the legal philosophy,legal economy and legal sociology.In addition,the paper discusses the change of the American company law under the influence of the stakeholder theory,confirms the feasibility of it.And we should draw lessons from the legislation and practice of the America--how to improve Laws and regulations adjust to the corporate social responsibility.
