With the development of enterprise organizational structure and the improvement of modern economic system, most modern joint-stock limited companies have realized the separation of ownership and management rights under the fiduciary responsibility system, and this is also the inevitable result of economic and social development to a certain level. In fact, the separation of the two rights can,to a certain extent, ensure that the company's process management can be more professionally guided,as well as more rational management, financing, and investment decisions. However, the separation of the two powers is not without its drawbacks. After the company's equity is dispersed to a certain extent,it is likely to cause some competition between the company's shareholders, shareholders and management for the actual control of the company. In China's stock market, this kind of example has also occurred many times, such as the competition for control of Gome, the battle of Vanke's Baowan, and the introduction of new shareholders by Tibet Pharmaceutical. But in fact, the transfer of control is a normal phenomenon in the development of the market economy, representing the normal handover and normal replacement of the capital market. Therefore, our concern is that when the actual control of the company is transferred, will this behavior affect the company's performance and how will the company's stocks fluctuate? And from long-term data observations to analyze.Whether it has a positive effect on the company's development. And it is necessary to consider what factors cause the company's performance to progress or decline, whether it is because the new managers can not better drive the development of the enterprise,or do not have the corresponding qualifications or conditions to drive the development of the enterprise. In this paper,in the process of thinking about and considering the transfer of two control rights of Tibet Pharmaceutical, the two new controllers introduced the role of the business concept in the development of the company, and the reason for the different results is where is it? Whether the combined company performance response between upstream and downstream industry companies is better than that of a cross-industry merger.Through the relevant comparative analysis of the case, this article concludes that when introducing investors,it should consider whether the business philosophy and resources possessed by investors conform to the development trend of the enterprise, and whether it can promote the corresponding financial efficiency of the enterprise. At the same time,it is necessary to prevent the occurrence of control disputes between the major shareholders of the company, the occurrence of vicious incidents such as inconsistent ideas, and minimize the negative impact of the corresponding events on the company's performance.Through the conclusions drawn from the analysis of the case,I hope that the theoretical development of the relationship between the transfer of control rights and the financial efficiency of the company can be promoted. It can also effectively help listed companies to introduce institutional investors involved in business operations. The adverse effects of adverse events and adverse events in this case have had a negative impact on the company's finances.
