In today's world,with the rapid development of technology and increasing demand for innovation,many enterprises are unable to rapidly develop new products or technologies due to their limited resources.They usually acquire patented technologies through cross-border mergers and acquisitions to expand their business scope.By acquiring patented technologies,enterprises can freely cope with international competitors,solve the problem of the speed of their own development,cope with the pressure of high cost,break through the development bottleneck,improve their competitiveness,and finally achieve synergies and complete the cross-border development of enterprises.The selection and implementation of integration strategy after M&A is the key to determine the success of M&A.BUH corporation,studied in this paper,is a multinational high-tech company,which takes a leading position in the global market in the field of food processing and die-casting.BUH is a family-owned company from Switzerland with a history of more than 150 years.The acquisition of GAX machinery by BUH in this paper belongs to the layout of noodle business division of the group.Due to the improper implementation of the integration strategy,the shareholders of GAX quit completely and BUH China took over the whole enterprise.It can be seen that it is a difficult problem for many enterprises to reasonably formulate and implement the integration strategy of cross-border M&A so as to realize the synergies after M&AAccording to the research purpose,looked at the books and big data,into personal interpretation,through quantitative analysis,comparative analysis,literature analysis,case analysis,to discuss a very good at management of European company and a lack of management experience of China's private enterprises,how did they cooperate to make the collision and friction more sense,from the perspective of BUH nature,analyzes the reason of mergers and acquisitions,mergers and acquisitions,mergers and acquisitions risk,and then analyzing the full-scale merger integration process,concrete from the strategy,business processes,human resources and enterprise culture,marketing,five aspects of integrated strategy has carried on the detailed analysis,So as to express how to correct the mistakes in the integration process and avoid greater losses after the selection of inappropriate acquisition targets.On the basis of the above analysis,combined with the experience of merger and acquisition integration,this paper puts forward several inspirations:carefully choosing the object of merger and acquisition,strengthening the communication with the target enterprise,establishing the patent technology evaluation team,improving the level of governance,improving the level of merger and acquisition integration,and establishing effective preventive measures.The integration process needs to adjust the integration strategy flexibly,and the replacement of old and new managers needs patience.
