More than half of all businesses in the world are family businesses.About 40% of the world's top 500 companies are family businesses.In the initial stage of family business,there are many advantages of operating by family members.They all work together,and the cost of management is low.However,with the development of family business,the company's development plan will gradually not match the ability of family members,so it is necessary to employ competent professional managers from outside to manage the company.For company management and inheritance,most entrepreneurs will choose internal handover,choose their own children to inherit,and use professional managers team to assist management inheritance.But then comes the principal-agent problem.After introducing professional managers,some family enterprises encroach on shareholders' rights and interests in varying degrees,which brings serious harm to shareholders and companies.Therefore,it is necessary to establish a set of perfect management system for professional managers in enterprises at the stage of de-familiarization.However,at present,the system of professional managers is not perfect,and there are relatively few studies on the de-familiarization of family enterprises and the principal-agent problem of professional managers.Based on this,this paper takes Biguiyuan as an example to analyze how to motivate and restrain professional managers to prevent and control occupancy of professional managers in the process of de-familiarization,and to make enterprises achieve greater development.Based on the principal-agent theory,incentive theory,game theory and private benefits theory of control,this paper emphatically analyses the motivation,conditions and ways for professional managers to encroach on the interests of enterprises.Then,taking Biguiyuan as an example,this paper elaborates on its incentive and restraint mechanism for professional managers and analyses its economic effects after de-familiarization.Finally,on this basis,it puts forward that Biguiyuan should go.In the process of familiarization,there are some deficiencies in the management of professional managers,and some suggestions on the incentive and restraint mechanism of professional managers in other de-familiarized enterprises.It is hoped that this paper can broaden the thinking of other professional managers in business management in the de-familiarization stage,and explore more effective control mechanism for family enterprises with separation of ownership and management rights under the modern economic system,so as to enable enterprises to develop in the long run.
