Under the background of high-speed development of transportation infrastructure construction in China,it is of great significance to further play the role of transportation infrastructure,enhance the development space of transportation service market and enhance the core competitiveness of enterprises through restructuring and organizational structure optimization of transportation enterprises.Based on the analysis of the relevant theories of state-owned enterprise system and property right system,state-owned enterprise stock restructuring and equity structure,this paper puts forward a detailed scheme of restructuring,which is based on the project of transforming the test and inspection center of the internal organization of M,a subsidiary company of Shaanxi Expressway Construction Group Company,into Shaanxi YT Highway Engineering Test and Detection Co.,Ltd.Then according to the actual situation of the project and the characteristics of the enterprise,the organizational structure of Shaanxi YT Highway Engineering Test and Inspection Co.,Ltd.was optimized.The main contents and conclusions of this paper are as follows:(1)This paper systematically divides the stage of the reform of state-owned enterprises and studies the theory of modern enterprise system and the reform of state-owned enterprises in order to form the basic theoretical framework of the paper.(2)By dividing the three types of modern company's equity structure,i.e.,highly centralized,highly decentralized and with a certain degree of centralization,the paper analyses and studies the incentive mechanism,supervision mechanism and generation of equity structure.(3)Based on the project of transforming the testing and testing center of the built-in organization of the subsidiary company M of Shaanxi Highway Construction Group Company into Shaanxi YT Highway Engineering Testing and Testing Co.,Ltd.,this paper puts forward a detailed scheme of restructuring of the company on the basis of the previous theoretical research results,combining with the company's operating characteristics and the company's actual development,and puts forward the market prospect,investment cost and profitability after restructuring.The power and return on investment are systematically analyzed.(4)It is inevitable that the restructuring of state-owned transportation enterprises will produce various risks.The paper puts forward corresponding solutions to the market risk,industry risk,technology risk,strategic risk,financial risk,operational risk and operational risk that the company may face after the restructuring.(5)In order to optimize the operation mechanism of Shaanxi YT Highway Engineering Test and Inspection Co.,Ltd.,improve the company's operating efficiency and increase the company's economic benefits,this paper puts forward three organizational structure optimization schemes: absolute concentration of equity,non-introduction of relative concentration of equity of corporate shareholders to society,and introduction of relative concentration of equity of corporate shareholders to society,and further compares and analyses the three schemes in supervision.The different effects of mechanism,incentive mechanism and agency competition ultimately form the optimal scheme...
