Under the guidance of the “Belt and Road Initiative”,more and more state-owned enterprises have allocated resources on a global scale to enhance their international competitiveness through international operations.Among them,overseas mergers and acquisitions have become an important way for enterprises to “go global”.With the continuous implementation and promotion of the “One Belt and One Road” strategy and its supporting policies,it provides an excellent development space for overseas mergers and acquisitions of Chinese enterprises.In the context of “One Belt,One Road”,corporate mergers and acquisitions activities are becoming more frequent,so the determinants of the success of corporate mergers and acquisitions are crucial.This paper summarizes the existing literature research on dynamic capability theory,and selects Guangming Food Group to acquire Israel Tnuva Group as a case study object,focusing on the issue of how enterprises use dynamic capabilities and how dynamic capabilities affect corporate strategic performance growth.From the perspective of the single case study method,based on the dynamic performance of the three manifestations in the M&A process,the company's overseas M&A strategy performance is studied.The research results show that the dynamic ability of M&A selection ability,recognition ability and refactoring ability plays an important role in the M&A of enterprises: M&A selection ability influences the M&A strategic performance by evaluating the market and identifying its own position in the industry;The M&A recognition ability affects the strategic performance of M&A by locating M&A target companies and formulating M&A strategies,and achieving synergy with target companies.The M&A resilience ability affects M&A strategic performance by integrating self and target enterprise resources.This paper combines the case from the three dimensions of dynamic competence to explore the path of dynamic capability to promote the growth of M&A strategic performance.At the same time,it combines dynamic capabilities with the actual operation of enterprises to provide a theoretical framework for the strategic performance improvement of similar overseas M&A..
