The CPC central committee and the state council put forward "nation-wide entrepreneurship,nation-wide innovation",greatly has given rise to a number of innovative newly established start-ups,especially the assets of the financial management start-ups developing very rapidly.But in the beginning,many companies ignore the equity problem,determine the enterprise equity structure and incentive way more often depends on the racquet head,lead to unstable under control in the process of later development,financing difficulties,leave the core personnel,etc all kinds of problems.The optimization research on equity structure and equity incentive of start-up companies,especially the internal use of equity incentive and external equity financing,is a good medicine to solve the above problems.H company is an asset management company in the initial stage,and in the fierce competition environment,there have been business line adjustment,backbone poaching,insufficient staff motivation and other situations.In order to promote its development,maintain core competitiveness and stabilize core talents,effective equity structure research has become the key factor to solve the above problems.This thesis studies the development status of H company,summarizes its specific problems,and puts forward the necessity of equity structure optimization.Six factors influencing the equity structure of the company in the initial period were analyzed,and the evaluation criteria of the equity structure suitable for such companies were summarized.Combining with the present situation and the development strategy of H company,design a more targeted "three steps" equity structure optimization plan:the first step is to establish on the basis of founder equity allocation formula,founder of the redistribution of equity optimization;The second step is to design the external equity financing scheme and introduce strategic investors.The third step is to set up two new internal equity incentive plans,namely,employee equity platform for all employees and virtual equity incentive plan for senior executives only.Finally,the possible risks in the implementation of the scheme are analyzed and the preventive measures are proposed.Through the research and analysis on the equity structure of H company,which is representative in a certain industry,and the design of relevant optimization schemes,it can be used as a reference for the similar type of start-up asset management companies.
