Since the 41 years of reform and opening up,China's comprehensive national strength and international status have improved significantly,and the level of economic development of the country has been rising.Under the continuous deepening of the "one belt and one way" initiative,the volume of import and export trade has continued to increase,and the growing international economic exchanges are constantly promoting the transformation of China's economic growth mode,and has a huge role in promoting the implementation of China's regional economic development strategy.The continuous expansion of market scale,the upgrading of industrial structure and the upgrading of enterprise science and technology level are putting forward higher requirements and challenges for enterprise management.Under the great pressure of industry competition and the gradual decline of the demographic dividend,in order to cope with the problems of industrial agglomeration,industrial convergence and other development issues,as well as to adapt to the trend of digitalization and intellectualization of the industry,and to maintain,enhance the competitiveness of the industry and control labor costs,modem enterprises need to find solutions that are more compatible with the characteristics of enterprises.As one of the powerful means to alleviate the agency problem,equity incentive has been put forward since 1950s,and has produced many derivative theories and application models.Equity incentive has important advantages in attracting and retaining talents,and is of great significance to the long-term development strategy of enterprises.At present,more than 90%of American listed companies and more than 30%of Chinese listed companies have implemented equity incentive plans.In the domestie capital market,more and more listed companies begin to try to implement equity incentive plans.The scale of equity incentive of listed companies is expanding year by year,and with the rising cost of human resources,more enterprises will choose equity incentives to motivate their outstanding talents in the future.However,the current equity incentive plans implemented by Chinese enterprises often have the shortcomings of single mode and general conditions.How to make the equity incentive plans adapt to the rapidly changing business environment to better serve the long-term development of enterprises has become a problem worthy of consideration.Firstly,this paper aims to optimize the equity incentive scheme of listed companies in logistics industry.Firstly,this paper combs the theoretical basis of the Optimization Countermeasures in this topic,and briefly combs the concept,advantages and disadvantages of the current popular equity incentive model and the applicable environment.According to the current situation of logistics industry and the characteristics of strategic layout,the main guarantee for the successful implementation of equity incentive plan is to rationally select incentive content,incentive mode and contract terms.Secondly,based on the current situation,future trend and industry characteristics of S company,this paper analyses the internal and external environment of S company and equity incentive plan,studies its program characteristics,existing problems and improvement space,and intends to find the most suitable equity incentive Optimization Countermeasures for S company.The research shows that the equity incentive scheme,which fully considers the intermal and external environment of the company,is more effective in the implementation process.Finally,the overall design of S company's equity incentive scheme can start from two aspects:the improvement of the content of equity incentive scheme and the design of supporting system.Four methods are adopted to optimize the equity incentive scheme:improving the diversity and rationality of the scheme,setting up the basis and scope of the incentive object reasonably,choosing the appropriate lifting of the restricted sale Period and the prohibited sale period,and reasonably designing the performance evaluation conditions.The equity incentive supporting system is designed by setting up the incentive Governance Committee and establishing the talent credit platform.This paper puts forward some countermeasures and suggestions on how to further enhance the effectiveness of equity incentive by optimizing the content of equity incentive scheme and supporting system design,which can provide some reference for S company to optimize equity incentive scheme.However,the effectiveness of the overall design of equity incentive schemes still needs to be comprehensively analyzed and thoroughly discussed in the future.
