Farmers' specialized cooperatives are the mutual aid organization for economic that producers and traders of similar agricultural products or providers and users of similar agricultural production and business services unite voluntarily to manage democratically in the base of farmers contracted management in the unite of family.On nowadays,the farmers' specialized cooperatives are still under the undeveloped situation,and many governance issues have gradually emerged with the farmers'specialized cooperatives' development.SinceJuly 2007,the "Law of Farmers'specialized Cooperatives" was promulgated,the introduction of a series of supporting laws and regulations and related supporting policies has gradually improved the external environment for the development of cooperatives.Therefore,improving the internal governance mechanism of professional farmers' cooperatives is to promote The important content of the healthy and stable development of cooperatives.In general,the level of development of farmers' specicalizedcooperatives in China is generally low,and farmers' specialized cooperatives are still facing many problems,for example,small scale and non-standard governance.The underlying reason is that no development model has been found that suits the actual conditions of rural China.The core of the development of farmer professional cooperatives is the governance mechanism,but the environment of rural economy and culture is complex,and how to choose the appropriate governance structure has become a difficult problem.This thesis consists of five chapters.The first chapter is an introduction,which introduces the research background and significance of the problem,the current status of research on governance mechanisms at home and abroad,clarifies the research ideas and research methods for the problem,defines the related concepts of professional farmers' cooperatives,and elaborates three The basic theories related to the cooperative governance mechanism:transaction cost theory,principal-agent theory,and insiders'control theory.Finally,the main research focus is set on the internal governance mechanism of the organization.The second chapter analyzes the development environment and development process of farmers specialzed cooperatives in China history,and governance structure and mechanism being used in nowadays.The third chapter analyzes the problems of the governance mechanism of Yusheng Agricultural Cooperatives,and list four aspects of decision-making mechanism,dirve mechanism,monitor mechanism and external governance mechanism.There are three main problems in decision-making mechanism:First,The structure of the council is not perfect,the second is the formatting of the constitution,and the third is that democratic decision-making is useless.There are two main points in thedirve mechanism:first point is the existing incentive mechanism is single,and the second point is the lack of attractiveness of the incentive mechanism.The problems of the monitor mechanism have two aspects:the first one is which supervision mechanism is missing,and secondly,the lack of constraints on the identity of the supervisor;the main problem facing the final external governance mechanism is the lack of policy environment and financial support.There are three main reasons for these problems:firstly,the farmers themselves participating in cooperatives lack a sense of cooperation,secondly,the members of cooperatives are heterogeneous,and finally,the phenomenon of policy idling is widespread at the grassroots level.The fourth chapter proposes corresponding improvement suggestions for the problems encountered in the investigation of cooperatives.In terms of decision-making mechanism,one is to improve the structure of the council,and the other is to improve the system of member congresses.In terms of the incentive mechanism,the first is to pay attention to spiritual and material incentives.The second is to strengthen the measures to attract talents.In terms of the supervision mechanism,one is to improve the supervisory board system,and the other is to awaken the supervisory role of the member assembly.The improvement of external governance mechanisms should mainly be placed on laws and regulations.Improve and support relevant policies and build a harmonious social environment.
