The market share of private medical institutions has become a new growth point of modern service industry along with the deepening of the new medical reform and the rapid upgrading of market resources allocation.Talent is the core resources to support the continuous development of medical service industry.Small and medium-sized medical service enterprises are facing the challenges of lack of public trust brand and capital pressure,equity incentive mechanism is widely used as an important means of long-term talent management,which could attract and retain talents.As an important system of corporate governance,equity incentive has gone through many years of exploration and development in western developed countries.In recent years,China's enterprises have also applied,to a certain extent,equity incentive has begun to play a role,but many enterprises in the process of practice,because of lack of systematic thinking and scientific and reasonable design,making stock incentive in the form of incentive and constraints do not really work.Based on the theoretical research,literature research and case analysis,this paper selects the optimization and improvement of the equity incentive scheme design of A company which is a small and medium-sized medical enterprises as the main research object.Through the analysis of the financial and non-financial indicators of the A company,it shows that the equity incentive has not played a positive role of constraint and incentive.In the further analysis,there are problems of imperfect corporate governance structure,unsuitable incentive mode and object,less proportion of stock incentive and share,single performance index and unsound assessment system.Based on these problems,before the second implementation of equity incentive,this paper puts forward specific optimization suggestions from the perspectives of organization arrangement,incentive mode,incentive object and quantity arrangement,authorization conditions and exercise conditions.
